Why Education Training - Terms of Service – Wholesale

1.  Acceptance of Terms

• Terms of Service constitute a legally binding agreement between Why Education Training & Tutoring (“Distributor,” “we,” “us,” or “our”) and the bookstore or business entity purchasing from us (“Client,” “Buyer,” “you,” or “your”).

• By accessing our services, placing orders, or engaging in business with us, you agree to these Terms of Service.

2. Pricing and payment

 

• Inclusive Pricing: All prices listed are inclusive of Goods and Services Tax (GST).

• Payment Requirements: Payment must be made in full at the time of order placement unless alternative payment arrangements have been agreed upon in writing.

• Shipping and Handling: Shipping fees are included in the wholesale price. Any additional fees (such as re-delivery fees) will be the responsibility of the Client.

• Minimum Order Spend: Minimum order spend is $180 unless alternative arrangements have been agreed upon in writing.

3. Delivery and Address Requirements

 

• Correct Delivery Address: It is the Client’s responsibility to ensure that the delivery address provided is accurate, complete, and up to date. Why Education Training & Tutoring will not be held responsible for any deliveries sent to incorrect addresses provided by the Client.

• Acceptance of Delivery: It is expected that someone will be present at the delivery address to receive the order. If no one is available to accept the delivery, the Client may incur a re-delivery fee at their expense.

• Delivery Times: Delivery timelines may vary. While we aim to meet estimated delivery times, we are not liable for delays outside our control.

4. Returns and Refunds


• Returns for Faulty or Defective Items
: Why Education Training & Tutoring only accepts returns if items are defective, damaged, or faulty upon receipt. The Client must notify us within five (5) business days of delivery if any item is received in an unacceptable condition.

• Non-Returnable Items: We do not accept returns for reasons of change of mind or unsold items. All sales are final once items are dispatched, except in cases of defects or damages as stated above.

• Return Process: For authorised returns, it might be requested that items be returned in their original packaging and unused. The Distributor reserves the right to inspect and assess the returned items before issuing any refund or replacement.


5. Ordering and Cancellations


• Order Placement
: Orders can be placed via email, with full payment required before shipment, via Direct Debit. Once an order is placed, the Client is responsible for ensuring that all details, including item quantity and delivery information, are correct.

• Order Cancellation: Once an order is submitted, cancellations will not be accepted unless expressly approved by Why Education Training & Tutoring. Cancellations may incur a fee at the Distributor’s discretion.


6. Limitation of Liability


• General Liability
: To the extent permitted by law, Why Education Training & Tutoring is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.

• Delivery Risks: Why Education Training & Tutoring is not responsible for delivery risks, including delays, losses, or damages incurred after the items have been dispatched.

• Inventory and Sales: We do not guarantee specific inventory levels, availability of certain items, or potential sales outcomes. The Client is responsible for determining the suitability of purchased items for their store and customer base.


7. Intellectual Property


• Use of Content
: All content, images, and materials provided by Why Education Training & Tutoring are protected by intellectual property laws. Clients may not use our branding, product images, or descriptions without prior written permission.


7. Termination of Services

• Why Education Training & Tutoring reserves the right to terminate or suspend any Client’s access to services, in whole or in part, at any time without prior notice if we believe there has been a violation of these Terms of Service or applicable laws.


8. Amendments to Terms of Service

• Why Education Training & Tutoring may modify these Terms of Service at any time. Updated terms will be posted on our website, and continued use of our services after the terms have been modified constitutes acceptance of the new terms.
